Confidential Disclosure Agreements (CDA's)

Outside Services must be provided in accordance with Johns Hopkins School of Medicine policies.  Here are some guidelines that need to be considered when you sign a CONFIDENTIALITY AGREEMENT.

Guidelines

1.  

Confidentiality Agreements are usually drawn up for the purpose of a company disclosing confidential information to you. 
2.

Do not disclose any invention or other data of information that is proprietary to JHU.

3.

Nothing in the agreement should inhibit your ability to conduct research and other academic activities at or on behalf of JHU.

4.

The company should have no rights to any publication or intellectual property which is developed as a result of research paid with JHU funds or funds under the control of JHU or conducted using JHU resources and facilities.

Please note that a private confidentiality agreement (CDA) should be drawn up as a one-way CDA.  (Click here to download our one-way CDA template.)  That is, you as an individual should be the recipient of confidential information and NOT the discloser.  Any confidential information that you disclose to an outside party is considered institutional confidential information unless such information was conceived by you independent of any JHU resources, materials, equipment, funds, and outside of all JHU facilities and premises.
