Directors/Officer Guidelines

Please note that all BOD services are subject to review by the Committee on Outside Interests.

The following BOD activities are generally permitted. Review by the Committee on Outside Interests is required.

  • The company is publicly traded, privately held or a start-up, and neither the faculty member nor any individual he/she supervises is engaged in company-related research at JHU.
  • The company/entity is publicly traded, and the faculty member and/or any of the individuals he/she supervises is engaged in company-related non-human subjects research.

The following BOD activities are generally not permitted. Review by the Committee on Outside Interests is required.

  • The company/entity is publicly traded, privately held or a start-up, and the faculty member and/or any of the individuals he/she supervises is engaged in company-related human subjects research.
  • The company/entity is privately held or a start-up, and the faculty member and/or any of the individuals he/she supervises is engaged in company-related non-human subjects research.

If your BOD activity is permitted,the following conditions may be assigned:

  • A written agreement with the company is required.  The JHU Uniform Provisions for Board Service* must be incorporated into the agreement
  • Director’s and/or Officer’s insurance is required
  • Annual update of disclosure
  • Disclosure in publications and/or presentations

*The JHU Uniform Provisions for Board Service are sent to faculty after Committee on Outside Interest review and approval.
